Areas of Expertise

Before joining Devonshires, Prasan spent several years with London law firms, before working as general counsel to a business that supported the British government during the pandemic.  Prasan then acted as corporate counsel to a HNWI’s family office advising trustees and the various C-Suite members within the trustees’ portfolio.  Pulling on this experience, Prasan’s practice also includes acting as interim head of legal for Sage Homes and acting as lead solicitor for various projects within Sage Homes.

With extensive experience in advising on acquisitions and disposals both in a domestic and cross-border setting, Prasan’s clients know him as a trusted right hand who can pragmatically advise on M&A matters, private listings, investment rounds and equity fundraisings, tax-driven corporate restructures (including share buybacks) and joint ventures.

Prasan typically acts for clients ranging from owner-managed businesses, entrepreneurs, investors, shareholders, HNWI and/or their respective trust structures.

Notable Cases

Advised on an off-market share buyback of a tech company that used to be a plc which involved the preparation of a shareholder circular and tender form for entry into the buyback. There were over 700 minority shareholders to communicate with.

Advised on a framework agreement that was part of a £120m new note issue secured against a portfolio of office buildings.

Advised Twig, a next-generation B-Corp bank, on its acquisition of Mobi Market, one of Europe’s fastest growing value-add resellers of used electronic devices.

Advised Fixit Medical, a R&D company that has invented a pioneering drainage catheter fixation device, on its recent receipt of investment from Ingraine PLC and Larvotto Group Limited.

Advised Digital Science Foundation on its incorporation and governance framework as it prepared to receive a $5m grant tranche from the Hedera Foundation.
