Areas of Expertise

Carolyn advises on a wide range of financing transactions for registered social housing providers in England and Wales, including syndicated and bilateral loan facilities, note purchase agreements, facility restructures, intra-group funding, financial due diligence, security trustee arrangements and interest rate derivatives and related security. Carolyn also advises on constitutional and regulatory matters in relation to finance transactions and intra-group funding.


Experience

Prior to joining Devonshires Solicitors, Carolyn trained and worked as a solicitor specialising in international asset finance at Watson, Farley & Williams where she advised on all aspects of ship finance for buyers, sellers and banks. She spent time in their offices in Norway, New York and Paris.


Education

Carolyn graduated from the University of Birmingham with an LLB in law.


Personal

Carolyn enjoys regular visits to the theatre and cinema and food and wine related activities and is a keen cook and an enthusiastic member of Richmond Wine Society.

Carolyn has also completed over 100 ParkRuns and enjoys the challenge of long distance walking trails having completed the Great Glen Way and Land’s End to John O’Groats (virtually) last year and has now started on the North Downs Way.

Notable Cases

Carolyn recently advised Stonewater Limited on the financing aspects of the simplification of their registered provider businesses comprising new debt and the restructuring of existing financing arrangements to align key commercial terms across all loan agreements and intra-group funding arrangements.

Carolyn also advised Stonewater Limited on the financing aspects of a new loan through the government-backed Affordable Homes Guarantee Scheme.

Carolyn acted for Optivo and Southern Housing Group Limited on the banking and treasury aspects of the recent amalgamation to form Southern Housing.

Carolyn recently advised Pobl Group Limited on the financing aspects of new sustainability-linked debt, the restructuring of existing financing arrangements and a new interest rate derivative line in each case with new and existing funders to the association to support their ongoing development and decarbonisation programme.

Carolyn advised Worthing Homes Limited on the financing aspects of new long term funding from Scottish Widows Limited and new capital markets funding through bLEND Funding plc to support the association’s development of new energy efficient affordable homes.
