Areas of Expertise

Rose is a senior Solicitor in our Banking, Governance & Corporate team based in our Birmingham office. She primarily acts for housing associations and community led housing providers across England and Wales on matters ranging from incorporation and registration as a social housing provider through to partnership working and joint ventures. She advises on new group structures, strategic governance, board and executive training, governance reviews, co-operative and community benefit society law, general company law, charity law and regulatory queries, alongside drafting governance documentation.


Experience

With substantial experience across housing association mergers and acquisitions, amalgamations and transfers of engagement, Rose helps clients to grow and thrive by making sure their corporate structures fit with their strategic aims. She regularly provides training to boards and executive teams of housing associations on a variety of topics, including legal and regulatory updates, coterminous board training, corporate manslaughter, directors’ duties and responsibilities and good governance.

Personal

Rose enjoys spending time outdoors, particularly wild swimming. She also enjoys travelling, reading and the arts. Rose is particularly interested in politics and tackling social injustice. She uses some of her free time to volunteer including recently spending time in the refugee camps in France with a charity called Care4Calais. Finally, she loves live music and volunteers at Glastonbury Festival each year.

Notable Cases

Acting as lead legal adviser to a North West based housing association joining a London based housing provider with over 95,000 homes;

Acting a joint legal adviser on several housing association mergers, including the formation of a group with 18,000 homes;

Providing guidance on the consolidation of three larger housing associations within one group and the associated commercial/subsidiary restructure;

Carrying out a strategic governance review and implementing a large group restructure including the associated corporate entity and governance framework restructure;

Advising on a corporate joint venture between a housing association and a local authority to deliver a flexible rent model and drive income from market sales.
